Michael A. Hillebrand is a principal shareholder and Chief Executive Officer of Huntley & Huntley, a board member of its institutional joint venture, Olympus Energy and a board member of its affiliate, Bow & Arrow Land Company. Mr. Hillebrand has thirty-one years of combined experience in both vertical and horizontal well drilling, completions, and operations, as well as all operating and financial aspects of oil and natural gas prospect and business development, assembly and acquisition, and marketing.

In 1998, Mr. Hillebrand joined Huntley and became a material equity partner. From 1998 through 2008, he worked closely with Keith Mangini and played a central role in raising over $150 million through Huntley’s creation and management of 26 syndicated limited partnerships and several joint venture programs that involved the drilling and/or participation in over 600 conventional oil or gas wells. Of those, over 400 wells were constructed and made operational under his direct engineering and oversight.

In 2008, Mr. Hillebrand foresaw the opportunity to lead Huntley through an industry transformation where horizontal well drilling technology replaced conventional vertical well construction. Since 2012, he has provided the business vision, direction and execution of Huntley’s strategic entrance into horizontal shale plays. He has played a key leadership role as Huntley secured over $1.1 billion of capital funding and/or commitments into several of Huntley’s affiliated companies over the last five years. One of those companies, Olympus Energy, now holds nearly 100,000 acres and in one of SW Pennsylvania’s last undeveloped core Marcellus, Utica and Upper Devonian positions.

Mr. Hillebrand started his career as a petroleum engineer for an international service company, which focused on cementing, stimulation, and coiled tubing services for well construction. He served as its Appalachian Basin district engineer. In 1990, he joined Power Gas Marketing and Transmission, a subsidiary of Sithe Energies, a large, independent, natural gas fired, electric power generation company. As its Vice President of Business Development, he oversaw the drilling and/or acquisition of over 2,000 operated and non-operated properties within the Appalachian Basin.

Mr. Hillebrand is a graduate of the Pennsylvania State University with a Bachelor of Science degree in Petroleum and Natural Gas Engineering. He is an active member of the Society of Petroleum Engineers (SPE), a member of the Board of the Independent Petroleum Association of America (IPAA) and is currently serving as the Chairman of the Pennsylvania Independent Oil and Gas Association (PIOGA).

Stephen Kenney is the Chief Financial Officer and Treasurer as well as a board member of Huntley & Huntley. Mr. Kenney is responsible for all financial investment and strategic business initiatives necessary to achieve the growth objectives set forth by the current owners. Throughout his career, he has directly led the strategic analyses and valuations of $12.5 billion in acquisition or divestiture transactions. Mr. Kenney has significant experience in developing strategic plans that require detailed financial modeling, analysis and planning to arrive at sound capital allocation and budgeting decisions. Prior to joining Huntley, Stephen Kenney was a Managing Director of Headwaters SC. Mr. Kenney supported client engagements by leveraging his experiences as both a corporate development executive with a Fortune 500 Energy company and as an investment banker. Prior to joining Headwaters, Mr. Kenney served as Vice President Strategic Planning with CONSOL Energy from 2007 to 2013. In this position, he was responsible for all strategic initiatives, investment decisions, economic valuations, capital budgets, risk management evaluations, market analyses and petroleum reserves estimations. From 2006 to 2007, he was an investment banker with Citigroup working with teams that covered the industrial and consumer product sectors. Between 1997 and 2006, Mr. Kenney served as an Officer in the United States Navy. Mr. Kenney completed his M.B.A. from Carnegie Mellon University and his B.S. in Electrical Engineering from the United States Naval Academy.

 

 

Angela Barone is the Controller of Huntley & Huntley and a Certified Public Accountant. Ms. Barone joined Huntley & Huntley in January 2012 as the Drilling/Land Accounting Manager. Ms. Barone is responsible for the treasury, accounting, financial reporting, and human resources of Huntley & Huntley, along with managing the external accountant’s tax preparation. Prior to joining Huntley & Huntley, Ms. Barone started her career at Baker Tilly US LLP (formerly ParenteBeard LLC), a leading Mid-Atlantic regional public accounting firm. While working there, she completed different types of tax returns for many industries – including the oil and gas industry, along with assisting in the preparation of financial statements for various small businesses.

Ms. Barone is a 2008 graduate from the University of Pittsburgh with a Bachelor of Science degree with a dual major in Accounting and Finance. She is an active member of the Pennsylvania Institute of Certified Public Accountants (PICPA).

 

 

 

Ethan Shula is the Manager Acquisitions & Divestitures and also serves as the company’s Sr. Petroleum Geologist. Mr. Shula began his tenure with the company in 2013 after completing a geology internship under the tutelage of Mr. Keith Mangini. Since, he has served in a number of roles for Huntley & Huntley as well as its affiliates; Olympus Energy, Huntley & Huntley Vintage Resources and Bow & Arrow Land Company. Mr. Shula was a member of the team tasked with the planning, permitting and execution of Huntley’s early Marcellus development, now under the control of its affiliate Olympus Energy. Additionally, he led the permitting and completion of the company’s proprietary 200 sq. mile seismic project, now instrumental in its unconventional development.

Mr. Shula has managed Huntley’s diverse O&G Mineral portfolio of more than +50,000 NMA and +300 unconventional wells held by both Huntley & Huntley LLC and its affiliate Bow & Arrow Land Company. Today, Mr. Shula reports directly to Mr. Mike Hillebrand and leads the company’s management, development and the growth of its mineral portfolio in the Appalachian Basin. Mr. Shula is a graduate of Cedarville University with a Bachelor of Science degree in Geology. He is a member of the American Association of Petroleum Geologists (AAPG) and Pittsburgh Geological Society.

Governance

Keith Mangini is a principal shareholder and Chairman of Huntley & Huntley, Chairman of its institutional joint venture, Olympus Energy and a principal of its affiliate, Bow & Arrow Land Company, LLC.

Mr. Mangini joined Huntley in 1978 as a Staff Geologist. At that time and since its founding, Huntley’s principal services included geological feasibility and due diligence reports, well engineering and drilling studies, and reserve and economics evaluations. For many years, the Company evaluated dozens of fields and thousands of wells annually. Mr. Mangini held positions of increasing responsibility at Huntley becoming its Chief Geologist and Vice President of the Company by 1986. In 1994, he purchased the Company to become its fourth-generation owner, CEO and President. In 1995,

Mr. Mangini saw an opportunity to change the Company’s business model and strategic direction, shifting from its long history of oil and gas consulting to oil and natural gas exploration and production. Utilizing Huntley’s wealth of basin knowledge, industry contacts, and O&G business familiarity, he successfully converted Huntley from a respected oil and gas technical consulting firm to one of Western Pennsylvania’s most respected oil and natural gas developers. Since then, under his navigation, Huntley has acquired interests in approximately 1,000 oil and gas wells, nearly 400 of which are operated by Huntley. To accomplish this, Mr. Mangini has formed and overseen the management of twenty-six limited partnership businesses focused on oil and gas exploration and production. Since 1978, he has been directly responsible for all technical analysis, and key business, legal and financial negotiations covering nearly $1.2 billion of oil and natural gas direct investments in drilling ventures.

Mr. Mangini is, today, one of the Appalachian Basin’s most respected geologists having a rooted, almost instinctive, geologic understanding of the Appalachian Basin. He brings forty years of experience in oil and gas valuations and reserve studies, prospect generation, oilfield development and finance, and project management, evaluation and risk management. His skills have been called upon for reserve studies & appraisals, and buy/sell transactions for SEC scrutiny of public companies, as well as for the O&G holdings of many private companies and individuals.

Although very much focused on the Appalachian Basin, Mr. Mangini has broad exposure and understanding of the oil and gas business throughout the United States, as he has experience in almost every producing basin in North America. During his career, he has negotiated numerous joint-operating agreements covering areas of Pennsylvania, Louisiana, Texas, Oklahoma, Michigan, West Virginia, New Mexico and Utah.

Mr. Mangini is a graduate from West Virginia University with a degree in Geology. He is a Registered Professional Geologist (CPG) in Pennsylvania, a Certified Petroleum Geologist, a 40-year member of the AAPG and the PAPG of which he is also a past President, and a 40-year member of the Society of Petroleum Engineers (SPE). He is past Chairman of the Board of the YMCA Deer Valley, and Chairman of its Financial Development Committee, and Property and Safety Committee, and currently Chairs its New Facilities Committee.

Herman Edwards is a Certified Public Accountant and a Marshall University graduate, with a Bachelor of Business Administration degree with an emphasis in accounting and economics. He currently serves as a strategic advisor to the board of Huntley & Huntley as well as to the current management team. In his previous role with Huntley & Huntley as CFO and Treasurer, Mr. Edwards led the development and monitoring of all of the company’s business strategies. He also assisted in securing sufficient financial resources to ensure future business development and growth opportunities that are in accordance with the company’s business strategy.

Prior to joining Huntley, Mr. Edwards was a tax partner with Baker Tilly US LLP (formerly ParenteBeard LLC), a leading Mid-Atlantic public accounting firm. His prior experience includes being a founding member of the public accounting firm of Edwards, Sauer & Owens, PC and a member of Ernst & Young, an international accounting firm. Mr. Edwards provided business consulting and tax services to clients in various markets, including the oil and natural gas industry. He is a member of the Pennsylvania Independent Oil & Gas Association (PIOGA) and several Certified Public Accounting professional organizations.

 

 

 

James C. Bly, Jr. is a member of the Advisory Board of Huntley & Huntley. He has served as a business and financial advisor to the shareholders of Huntley since 2011, during the time that Huntley’s successful Marcellus/ Utica institutional joint venture, Olympus Energy, was developed and recapitalized. He joined the Huntley Business Advisory Board in 2016.

Mr. Bly has over thirty years of experience serving clients in the upstream segment of the Oil & Gas industry including businesses involved in exploration, production, energy services, energy technology, and manufacturing energy production equipment.

Mr. Bly was a founder of Headwaters SC, LP in 1982, and had served as its Chairman and CEO for over 20 years. HWSC specialized in serving Business Owning Families and Family Offices, which own upper middle market companies or complex portfolios of operating businesses or operating assets. Most of HWSC’s clients were second through seventh generation family enterprise controlled businesses. Mr. Bly has over 30 years of experience working with such clients on matters related to growing larger, more valuable businesses; financing the growth of family-controlled companies, while maintaining family control; completing generational transitions of operating businesses; and on designing and implementing shareholder liquidity plans. In 2017, Ernst & Young, LLP (“EY”) acquired the Family Enterprise Business Services (FEBS) division of HWSC, which has become EY FEBS, and Mr. Bly joined EY as an Executive Director and national FEBS practice leader. Mr. Bly also retains his ownership interest in HWSC’s Family Office Direct Investment Services (FODIS) division and the Business Growth Alliance, LLC (BGA), a subsidiary of HWSC that has organized a carefully selected international group of professional services firms, which serve as subcontractors to HWSC on matters relating to corporate development and performance improvement initiatives for larger private companies. He is recognized as the Founder of HWSC and BGA, and retains the title of Chairman Emeritus of those organizations.

Mr. Bly is a fourth generation member of a Western Pennsylvania family that has held interests in coal, natural gas, and oil properties, and related energy production and services businesses. Mr. Bly has also served as a Trustee, Director, Committee Member, or Advisory Board Member to various client owned corporations and estates. Mr. Bly has either chaired or served on Finance, Investment, Risk Management, Nominating and Governance Committees of the boards of various multi-generational family businesses.

Mr. Bly graduated from St. Bonaventure University in 1973. He has been certified in mergers and acquisitions (CMAA) by the Alliance of Mergers & Acquisition Advisors and holds a Certificate in Financial Planning from the American College. He is a member of the Association for Corporate Growth, and the Alliance of Mergers and Acquisition Advisors.
